  • Manage Board reviews & actions related to, the Board's financial & Corporate Governance responsibilities from a Group company point of view, ensure appropriate reports are made available, ensure the agreement & Board review of Group/ Subsidiary policies & procedures
  • Organize all Board & Executive meetings including AGM, maintain records, and ensure timely submission of returns, circulation of minutes/agenda to members / shareholders appropriately
  • Reports to Board on key financial events, trends, concerns, and assessment of fiscal health, Governance matters of business sectors
  • Protecting & maintaining corporate intellectual property, brands & trade mark registrations
  • Statutory & stock exchange compliances & corporate governance requirements, Off-shore requirements & practices

 

Qualification

  • Degree/ Higher Diploma in Corporate Administration - Specializing in Company Secretarial (Desirable – MBA)
  • Member of Professional Company Secretarial body- ICSA (Desirable - IT/IS management, Member of Professional Accounting Body - ACCA, CIMA, ICEAW etc)

Experience

  • Senior Management level exposure - A minimum of 5 years in Multi-national/Regional environment heading company secretarial aspects (Preferred Working with multi-cultural groups/ International exposure)
  • Total Management level exposure of 8 - 10 yrs

Knowledge

  • Company Secretarial practices (Knowledge on impending reforms & new legislations and the process of  influencing the desired changes)
  • Companies Acts/ Statutory & stock exchange regulations (Sri Lanka / Indonesia / Malaysia/ Singapore etc)
  • Corporate Governance codes /Acts regulations (Good knowledge of general business environment, industry development, knowledge of economic environment, ability to apprehend implications of macro level changes to the organization)
  • Off-shore corporate administration requirements/ practices
  • Knowledge of organizational dynamics, processes / systems related complications, culture / behavior related
